QAPIShield™ Terms of Service Agreement

1. Acceptance of Terms
By accessing or using QAPIShield™ ("Service," "Platform," or "we"), you ("User," "Facility," or "you") acknowledge that you have read, understood, and agree to be bound by these Terms of Service ("Terms"). These Terms constitute a legally binding agreement between you and QAPIShield.
Important: If you do not agree to these Terms, you must not access or use the Service. By creating an account, clicking "I Agree," or otherwise accessing the Platform, you confirm your acceptance of these Terms.
2. Description of Service
QAPIShield is an AI-powered risk prediction and QAPI (Quality Assurance and Performance Improvement) analytics platform designed specifically for skilled nursing facilities (SNFs), long-term care facilities, and healthcare organizations.

Clinical Decision Support Disclaimer
QAPIShield is a clinical decision support tool and does not replace professional medical judgment. All risk predictions, interventions, and care plan suggestions are recommendations only and must be reviewed by qualified healthcare professionals before implementation. Clinical staff retain full responsibility for patient care decisions.
3. License to Use
Subject to your compliance with these Terms and payment of applicable fees, QAPIShield grants you a limited, non-exclusive, non-transferable, revocable license to access and use the Platform for your facility's internal clinical and administrative purposes.
License Grants
- • Access to the Platform during your subscription period
- • Use of risk prediction and analytics features
- • Generation and export of reports and care plans
- • Creation of user accounts for authorized staff
License Restrictions
- • No sublicensing or reselling of access
- • No reverse engineering or decompiling
- • No unauthorized sharing of credentials
- • No use beyond authorized facility scope
4. User Responsibilities
As a user of QAPIShield, you agree to the following responsibilities:
Data Accuracy
Ensure the accuracy and completeness of all clinical data entered into the Platform. Inaccurate data may result in unreliable risk predictions.
PHI Protection
Avoid entering Protected Health Information (PHI) unless a Business Associate Agreement (BAA) is in place. Use only de-identified clinical indicators as instructed.
Credential Security
Maintain secure login credentials and do not share account access with unauthorized individuals. You are responsible for all activities under your account.
Compliance
Comply with all applicable federal, state, and local laws, including healthcare regulations, when using the Platform.
5. HIPAA Considerations
HIPAA-Supporting Infrastructure
QAPIShield is designed to support HIPAA-compliant deployments for healthcare organizations. We maintain administrative, technical, and physical safeguards to protect the confidentiality, integrity, and availability of information processed through our Platform.
De-Identified Data by Default
The Platform is designed to operate on de-identified clinical indicators. PHI is not required for core functionality and should not be entered without proper authorization.
Business Associate Agreement
If your use case requires PHI processing, you must execute a Business Associate Agreement (BAA) with QAPIShield before entering any PHI into the Platform.
Security Measures
All data is encrypted in transit (TLS 1.2+) and at rest (AES-256). We implement role-based access controls, audit logging, and regular security assessments.
6. Payment Terms
QAPIShield operates on a subscription-based billing model. The following terms apply to all paid subscriptions:
Billing Cycle
Month-to-month or annual contracts available based on your preference
Payment Due
Payment is due at the beginning of each billing period
Auto-Renewal
Subscriptions auto-renew unless cancelled before the renewal date
Refund Policy
Refunds are not provided for partial billing periods. If you cancel your subscription, you will retain access until the end of your current billing period. Annual subscriptions may be eligible for prorated refunds at QAPIShield's discretion.
14-Day Pilot Program
Eligible facilities may participate in our complimentary 14-day pilot program. No payment information is required during the pilot. At the end of the pilot period, you may choose to subscribe or discontinue use with no obligation.
7. Limitation of Liability
Clinical Decision Support Tool
QAPIShield is a clinical decision support tool and does not replace professional medical judgment. All risk predictions, interventions, and care plan suggestions are recommendations only. Healthcare providers retain full responsibility for all clinical decisions and patient care outcomes.
To the maximum extent permitted by applicable law, QAPIShield and its officers, directors, employees, agents, and affiliates shall not be liable for:
In no event shall QAPIShield's total liability exceed the amount paid by you for the Service during the twelve (12) months preceding the claim.
8. Termination
Either party may terminate this agreement under the following conditions:
Termination by User
- Cancel subscription at any time through account settings
- Provide written notice to [email protected]
- Access continues until end of billing period
Termination by QAPIShield
- Violation of these Terms of Service
- Non-payment of subscription fees
- Conduct harmful to other users or the Service
Data Retention: Upon termination, you may request export of your data within 30 days. After this period, your data will be securely deleted in accordance with our data retention policies.
9. Governing Law
These Terms of Service shall be governed by and construed in accordance with the laws of the United States and the State of Florida, without regard to its conflict of law provisions.
Jurisdiction
Any disputes arising from these Terms shall be resolved in the state or federal courts located in Pasco County, Florida.
Dispute Resolution
The parties agree to attempt good-faith negotiation before pursuing formal legal proceedings.
